Autodesk to Acquire Innovyze, Inc. for $1 Billion; Provider of Smart Water Infrastructure Modeling and Simulation Technology

SAN FRANCISCO, Feb. 24, 2021 — Autodesk, Inc. (NASDAQ: ADSK) has officially announced its acquisition of Innovyze, a leading provider of water infrastructure software based in Portland, Oregon, for $1 billion, net of cash, subject to adjustments at closing. This strategic move strengthens Autodesk’s position as a key player in digital solutions for the entire water infrastructure lifecycle, from design to operations, and supports its broader digital twin strategy. The deal also paves the way for a more sustainable and technologically advanced water industry.

Autodesk has now completed the acquisition of Innovyze. For more details, check out the official news here. Innovyze offers powerful tools for modeling, simulating, and analyzing water systems, enabling more efficient and sustainable designs for distribution networks, collection systems, treatment plants, and flood protection. Their solutions help manage infrastructure assets effectively, reducing both capital and operational costs. By integrating Innovyze’s capabilities with Autodesk’s design and analysis tools—such as Civil 3D, InfraWorks, and the Autodesk Construction Cloud—engineers and utility companies can better plan, respond to issues, and improve overall performance. For over 35 years, Innovyze has been a trusted name in the water sector, serving around 3,000 customers globally. These include major utility companies in densely populated cities across five continents, many of the top firms on ENR’s list, and leading environmental and engineering consultancies. With more than two billion people still lacking access to safe drinking water, and over two-thirds of the world’s population expected to live in water-stressed areas by 2025, the need for modernized water infrastructure is urgent. “Managing water resources responsibly is essential for a sustainable future,” said Andrew Anagnost, President and CEO of Autodesk. “The global demand for water infrastructure is estimated to reach $1.9 trillion by 2030, and through innovation in design, construction, and operation, we are well-positioned to meet this challenge.” Amy Bunszel, Executive Vice President of AEC Design Solutions at Autodesk, added, “Every year, nearly nine trillion gallons of water are lost due to leaks and pipe failures. Without visibility into these issues, it’s impossible to address them. Innovyze’s analytics and modeling tools provide the insights needed to prevent crises before they happen.” Colby Manwaring, CEO of Innovyze, said, “For 35 years, Innovyze has quietly supported millions of people worldwide, ensuring clean water, managing sewage, and preventing floods. Autodesk’s design expertise is embedded in countless structures around the world, making this partnership a natural fit. We’re excited to join forces and work together toward a more resilient future.” For more information about the acquisition, please download the full press release here. The transaction is expected to close during Autodesk’s first quarter of Fiscal Year 2022, which ends April 30, 2021, pending standard closing conditions. **About Autodesk** Autodesk creates software that empowers people to bring their ideas to life.
